1. Introduction and Acceptance

This End-User License Agreement ("Agreement" or "EULA") is a legally binding agreement between you ("User," "you," or "your") and Aghapy Tech Services, LLC, operating as QuotUp ("QuotUp," "Company," "we," "us," or "our").

This Agreement governs your access to and use of QuotUp.com and any associated web applications, software, digital tools, features, content, updates, and related services (collectively, the "Services").

By creating an account, clicking an acceptance button, or accessing or using the Services after being presented with this Agreement, you acknowledge that you have read, understood, and agree to be bound by its terms.

If you do not agree, you must not use the Services.

If you use the Services on behalf of a business or organization, you represent that you have authority to bind that organization to this Agreement.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or enter into this Agreement.

You represent that you have the legal capacity and authority to accept this Agreement and that your use of the Services complies with applicable laws.

3. License Grant

Subject to your compliance with this Agreement, QuotUp grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended lawful purposes during the term of your authorized access.

This Agreement grants a license to use the Services and does not transfer ownership of the Services or any underlying intellectual property.

All rights not expressly granted are reserved by QuotUp and its licensors.

4. User Accounts and Security

Certain features may require registration and account authentication.

You agree to:

• Provide accurate, current, and complete account information.
• Maintain the confidentiality of your login credentials.
• Promptly update your information when necessary.
• Notify QuotUp of suspected unauthorized access or security incidents involving your account.
• Refrain from sharing access in violation of applicable subscription or licensing restrictions.

You are responsible for activities occurring through your account to the extent permitted by applicable law.

QuotUp may require identity or account verification when reasonably necessary to protect the Services.

Text Message (SMS) Program

Program name: Quotup sign-in codes, operated by Aghapy Tech Services, LLC dba Quotup.

Program description: If you opt in, Quotup sends one-time sign-in and security codes by text message to the mobile number you provide, when you sign in from a new device, confirm your phone number, or reset your password. Opting in is optional and is not a condition of using the Services.

Message frequency varies based on your account activity. Message and data rates may apply.

Reply HELP for help. Reply STOP to opt out. After you reply STOP, we will send one message confirming that you have been unsubscribed, and you will not receive further text messages from this program unless you opt in again (for example, by replying START). You can also turn text codes on or off under Your profile in the Services.

Carriers are not liable for delayed or undelivered messages.

5. Permitted and Prohibited Uses

You may use the Services only for lawful purposes and in accordance with this Agreement.

You may not:

• Copy, modify, distribute, resell, sublicense, or commercially exploit the Services without authorization.
• Reverse engineer, decompile, or attempt to extract source code except where applicable law expressly permits.
• Access accounts, systems, or data without authorization.
• Introduce malware, malicious code, or other harmful technology.
• Interfere with the security, availability, or performance of the Services.
• Use unauthorized automated tools to scrape or extract data.
• Infringe intellectual property, privacy, or other legal rights.
• Submit fraudulent, misleading, unlawful, or malicious information.
• Circumvent licensing, billing, access, or security controls.
• Use the Services for unlawful discrimination, harassment, fraud, or other prohibited activities.

QuotUp may investigate suspected violations and take proportionate corrective action, including restricting access or suspending accounts.

6. User Content and Data Ownership

You retain ownership of information, documents, text, images, files, business records, and other materials that you lawfully submit to the Services ("User Content").

You grant QuotUp a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display User Content solely as reasonably necessary to provide, secure, maintain, and improve the Services and fulfill your authorized instructions, subject to the Privacy Policy and applicable law.

You represent that you have the necessary rights and permissions to upload and process User Content.

You are responsible for the accuracy, legality, and integrity of the content you provide.

QuotUp does not acquire ownership of your User Content through this Agreement.

7. Intellectual Property

The QuotUp name, logos, trademarks, software, designs, interfaces, databases, documentation, and other proprietary materials are owned by QuotUp or its licensors and are protected by applicable intellectual property laws.

You may not use QuotUp's trademarks or proprietary materials without prior written authorization, except as permitted by law.

Feedback and suggestions voluntarily submitted to QuotUp may be used to develop or improve the Services without compensation, provided that such use complies with applicable privacy and confidentiality obligations.

8. Subscriptions, Payments, and Billing

This section applies only where QuotUp offers paid products, subscriptions, or features.

Paid services, where available, are subject to the prices, billing intervals, and terms disclosed at the time of purchase.

By purchasing a paid subscription, you authorize the applicable payment provider to charge the payment method you select for the disclosed amounts.

If a subscription automatically renews, QuotUp will disclose the renewal terms, applicable charges, cancellation method, and other information required by law before purchase.

You may cancel a subscription using the cancellation method disclosed at purchase or through available account controls. Cancellation generally prevents future renewals but does not automatically entitle you to a refund for an already-paid period, except as required by law or expressly stated in the applicable refund policy.

QuotUp may suspend paid features for unresolved payment failures after any legally required notice or opportunity to remedy the failure.

Taxes may apply as disclosed at checkout.

9. Third-Party Services

The Services may integrate with or link to third-party applications, hosting providers, payment processors, or external websites.

Third-party services may be governed by their own agreements and privacy policies.

QuotUp is not responsible for independently operated third-party services or their content, except to the extent required by applicable law.

10. Updates and Availability

QuotUp may release updates, patches, improvements, or modifications to the Services.

Certain updates may be required to maintain functionality, compatibility, or security.

Although QuotUp endeavors to provide reliable Services, uninterrupted or error-free availability is not guaranteed.

QuotUp may temporarily suspend access for maintenance, security, technical issues, or circumstances beyond its reasonable control.

11. Privacy and Data Protection

Your use of the Services is subject to the QuotUp Privacy Policy, available at: https://quotup.com/privacy

The Privacy Policy describes how personal information is collected, used, disclosed, retained, and protected.

Where QuotUp processes personal information on behalf of a business customer, additional data processing terms may apply.

12. Confidentiality

Where the Services involve confidential business information, QuotUp will use reasonable safeguards designed to protect such information against unauthorized access or disclosure.

Confidential information may be disclosed when required by law, valid legal process, or an applicable contractual obligation, subject to legally required safeguards.

Users must not access or disclose another user's confidential information without authorization.

13. Suspension and Termination

This Agreement remains effective until terminated.

You may stop using the Services at any time and may request account closure through the available account controls or designated support channel.

QuotUp may suspend or terminate access when reasonably necessary due to:

• A material violation of this Agreement.
• Fraudulent, unlawful, or abusive activity.
• A security threat to the Services or other users.
• Failure to pay applicable charges.
• Legal or regulatory requirements.
• Discontinuation of the Services.

Where reasonably practicable and legally appropriate, QuotUp will provide notice and an opportunity to remedy a violation.

Following termination, your license to access the Services ends. Personal information and User Content will be retained or deleted according to the Privacy Policy, applicable agreements, and legal requirements.

Provisions intended to survive termination, including intellectual property, payment obligations, disclaimers, and limitations of liability, will remain effective.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

QUOTUP DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT SUCH DISCLAIMERS ARE LEGALLY PERMITTED.

QUOTUP DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.

NOTHING IN THIS AGREEMENT EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTUP AND ITS OFFICERS, EMPLOYEES, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES ARISING FROM THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTUP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT PAID BY YOU TO QUOTUP FOR THE SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED, INCLUDING LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR OTHER NON-EXCLUDABLE OBLIGATIONS.

16. Indemnification

To the extent permitted by law, if you use the Services on behalf of a business, you agree to defend and indemnify QuotUp against third-party claims arising from your organization's unlawful use of the Services, infringement of third-party rights, or material breach of this Agreement.

This obligation does not apply to claims caused by QuotUp's own misconduct or breach of applicable law.

17. Governing Law and Disputes

This Agreement will be governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles, except where mandatory consumer protection laws require otherwise.

The parties agree to attempt to resolve disputes in good faith before initiating formal proceedings.

Subject to applicable law, disputes will be brought before the courts located in Bergen County, New Jersey, USA.

Nothing in this section prevents users from exercising non-waivable statutory rights or pursuing remedies available under applicable law.

18. Changes to This Agreement

QuotUp may update this Agreement to reflect changes in the Services, legal requirements, or business operations.

When changes are material, QuotUp will provide notice as required by law, which may include email, an in-product notice, or a prominent website announcement.

Changes will take effect on the date specified in the updated Agreement. Where legally required, QuotUp will obtain renewed consent.

19. Severability and Entire Agreement

If a provision is determined to be invalid or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

This Agreement, together with applicable supplemental terms and incorporated policies, constitutes the agreement governing your licensed use of the Services.

Failure to enforce a provision does not constitute a waiver of that provision.
